These Terms and Conditions ("Terms") govern your access to and use of the Beena platform, including our e-commerce, food delivery, and taxi/ride-hailing services, provided through our mobile applications on the Apple App Store and Google Play Store, our website, and all related services (collectively, the "Services"). Beena Groups has been established since 2023.

By downloading, installing, or using our applications or Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Definitions

  • "Beena Groups," "we," "our," or "us" refers to Beena Groups, the operator of the Beena platform.
  • "User," "you," or "your" refers to any individual who accesses or uses our Services, including customers, delivery partners, drivers, and vendors.
  • "Platform" refers to our mobile applications (iOS and Android), website, and all associated technology and services.
  • "Vendor" refers to any store, restaurant, or business that lists products or services on our Platform.
  • "Delivery Partner" refers to individuals who deliver orders placed through our Platform.
  • "Driver" refers to individuals who provide ride-hailing/taxi services through our Platform.

2. Eligibility

To use our Services, you must:

  • Be at least 18 years of age or the legal age of majority in your jurisdiction
  • Have the legal capacity to enter into a binding agreement
  • Provide accurate and complete registration information
  • Not have been previously suspended or removed from our Platform

If you are using our Services on behalf of a business or entity, you represent that you have the authority to bind that entity to these Terms.

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.

4. Services Description

4.1 E-Commerce Services

Our Platform allows you to browse, search, and purchase products from various vendors. Product availability, pricing, and delivery options are determined by individual vendors and may vary. All product descriptions, images, and specifications are provided by vendors, and Beena Groups does not guarantee their accuracy.

4.2 Food Delivery Services

Our Platform enables you to order food and beverages from participating restaurants and have them delivered to your specified location. Menu items, pricing, availability, and preparation times are determined by individual restaurants. Beena Groups acts as an intermediary between you and the restaurant and is not responsible for the quality, safety, or preparation of food items.

4.3 Taxi/Ride-Hailing Services

Our Platform connects you with independent drivers who provide transportation services. Beena Groups is a technology platform that facilitates connections between riders and drivers. Drivers are independent contractors and not employees of Beena Groups. Ride fares are calculated based on distance, time, demand, and other factors and are displayed before you confirm your ride.

5. Orders and Payments

  • All prices displayed on the Platform are in the local currency and may include applicable taxes and fees.
  • Delivery fees, service charges, and ride fares are clearly displayed before you confirm your order or ride.
  • Payment can be made through the methods available on the Platform, including cash on delivery, credit/debit cards, and mobile wallets.
  • By placing an order, you agree to pay the total amount displayed, including any applicable taxes, delivery fees, and service charges.
  • We reserve the right to cancel or refuse any order at our discretion, including orders with incorrect pricing due to technical errors.
  • Promotional offers, discounts, and coupons are subject to their specific terms and conditions and may be modified or withdrawn at any time.

6. Cancellations and Refunds

6.1 Order Cancellations

  • You may cancel an order before it has been accepted or prepared by the vendor, subject to our cancellation policy.
  • Cancellation fees may apply depending on the stage of order processing.
  • Frequent cancellations may result in restrictions on your account.

6.2 Ride Cancellations

  • You may cancel a ride request before the driver arrives at your pickup location.
  • A cancellation fee may be charged if the driver has already been dispatched or has waited beyond the designated waiting period.

6.3 Refunds

  • Refund eligibility is determined on a case-by-case basis.
  • Refunds for defective, damaged, or incorrect items will be processed after verification.
  • Refunds will be credited to your original payment method or as Platform credit, at our discretion.
  • Refund processing times may vary depending on your payment provider.

7. User Conduct

When using our Services, you agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Provide false, misleading, or inaccurate information
  • Use the Services for any fraudulent, illegal, or unauthorized purpose
  • Harass, threaten, or abuse other users, delivery partners, drivers, or vendors
  • Interfere with or disrupt the operation of the Platform
  • Attempt to gain unauthorized access to any part of the Platform or its systems
  • Use automated tools, bots, or scripts to access or interact with the Platform
  • Reproduce, distribute, or create derivative works from any content on the Platform without our written consent
  • Damage or vandalize any property of vendors, delivery partners, or drivers

8. Intellectual Property

All content, trademarks, logos, designs, software, and materials on the Platform are the property of Beena Groups or its licensors and are protected by intellectual property laws. You may not use, copy, modify, distribute, or reproduce any content from the Platform without our prior written consent.

9. Limitation of Liability

  • Beena Groups provides the Platform on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
  • We do not guarantee uninterrupted, error-free, or secure access to our Services.
  • Beena Groups is not liable for the quality, safety, legality, or availability of products or services offered by vendors.
  • Beena Groups is not liable for the conduct of drivers, delivery partners, or other users.
  • To the maximum extent permitted by law, Beena Groups shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
  • Our total liability for any claim arising from or related to the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Beena Groups, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Privacy

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our Services, you consent to the practices described in our Privacy Policy.

12. Third-Party Services

Our Platform may integrate with or contain links to third-party services, including payment processors, map providers, and social media platforms. Your use of such third-party services is subject to their respective terms and conditions. Beena Groups is not responsible for the content, privacy practices, or operations of any third-party services.

13. App Store Terms

If you downloaded our application from the Apple App Store or Google Play Store, the following additional terms apply:

  • These Terms are between you and Beena Groups, not with Apple Inc. or Google LLC.
  • Apple and Google have no obligation to provide maintenance or support for our application.
  • In the event of any failure of the application to conform to applicable warranties, you may notify Apple or Google for a refund of the purchase price (if any). Beyond that, Apple and Google have no warranty obligations with respect to the application.
  • Apple and Google are not responsible for addressing any claims relating to the application or your use of it.
  • Apple and Google are third-party beneficiaries of these Terms and may enforce them against you.
  • You must comply with all applicable third-party terms of agreement when using our application.

14. Termination

  • We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice.
  • You may terminate your account at any time by contacting our support team or using the account deletion feature in the app.
  • Upon termination, your right to use the Services will immediately cease.
  • Sections of these Terms that by their nature should survive termination will remain in effect.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms within our apps and on our website. Your continued use of the Services after any modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Beena Groups operates. Any disputes arising from or related to these Terms or the Services shall be resolved through good-faith negotiation. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Beena Groups regarding your use of the Services and supersede all prior agreements and understandings.
